Please read these Terms and Conditions ("Terms", "Terms and Conditions") carefully before using the http://tracepos.net (the "Service") operated by Tracepos Technologies Limited ("us", "we", or "our").

1. Introduction

Welcome to Tracepos. By accessing or using our services, you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, please discontinue use of our services.

2. Definitions

  • "We," "Us," or "Our": Refers to Tracepos Technologies.
  • "Services": Refers to our cloud inventory management, accounting software, and any associated tools or applications.
  • "User": Refers to anyone accessing or using our services.

3. Use of Services

Users must ensure that all information provided to us is accurate, complete, and up-to-date. Any misuse of our services, including illegal activities or attempts to compromise system integrity, is strictly prohibited.

4. Non-Refund Policy

All payments made to Tracepos for subscription plans, licenses, or services are final and non-refundable. This policy applies under all circumstances, including but not limited to unused service periods, subscription cancellations, or dissatisfaction with services. Please carefully review your subscription and service agreements before purchase.

5. Service Level Agreement (SLA)

Tracepos is committed to delivering reliable services to its users. The following SLAs apply:

  • System Availability: Our services will maintain an uptime of 99% over any calendar month, excluding scheduled maintenance and circumstances beyond our control (e.g., force majeure).
  • Technical Support: Users can contact our support team at [email protected]. Response times are as follows:
    • Critical Issues: Response within 2 hours during business hours.
    • Non-Critical Issues: Response within 24 hours during business days.
  • Maintenance: Scheduled maintenance will be communicated at least 48 hours in advance. Emergency maintenance may be conducted without prior notice.

6. Limitation of Liability

To the fullest extent permitted by law, Tracepos shall not be held liable for any direct, indirect, incidental, or consequential damages arising from the use or inability to use our services. This includes, but is not limited to, loss of data, revenue, or profits.

7. Intellectual Property and Prohibited Activities

All intellectual property rights associated with our services, including but not limited to trademarks, logos, source code, software architecture, and user interfaces, remain the sole property of Tracepos Technologies Limited.

7.1 Prohibition on Reverse Engineering and Copying

Users are strictly prohibited from:

  • Decompiling, disassembling, reverse engineering, or attempting to derive the source code, underlying ideas, or algorithms of our software.
  • Copying, modifying, reproducing, distributing, or creating derivative works based on our software or services.
  • Using automated tools, bots, scrapers, or any similar technologies to access, extract, or replicate content or features of our services.

7.2 Prohibition on Unauthorized Competitive Activities

Users agree not to:

  • Create a false or misleading account to gain unauthorized access to proprietary features, business logic, or operational workflows of Tracepos.
  • Monitor or analyze the system, services, or traffic patterns to gain competitive intelligence.
  • Use our services to develop, support, or enhance a competing software, product, or service.
  • Share or disclose any confidential information, software functionalities, or system designs with third parties, including competitors.

7.3 Enforcement and Legal Action

Tracepos Technologies Limited reserves the right to investigate suspected violations of these Terms and take necessary legal action, including:

  • Immediate suspension or termination of accounts found in breach.
  • Legal proceedings for damages resulting from unauthorized use, reverse engineering, or competition-related violations.
  • Seeking injunctive relief and financial compensation for any infringement of our intellectual property.

Users found violating these terms will be held legally responsible under applicable intellectual property and cybersecurity laws in Nigeria and other relevant jurisdictions.

7.4 User Responsibility for Account Access

  • Users are solely responsible for maintaining access to their registered email address associated with their Tracepos account.
  • Tracepos will only process password reset requests if the user provides the exact email address linked to their account.
  • If a user is unable to provide their registered email, Tracepos will not be liable for any loss of access.
  • For security reasons, Tracepos does not store or provide alternative ways to retrieve passwords other than the email reset process.

7.5 Account Registration and Security

  • Users must provide a valid and accessible email address upon registration.
  • It is the user's responsibility to remember their registered email address.
  • Password resets will only be sent to the email address on file. We will not provide login credentials through any other means for security reasons.
  • Users are advised to use their personal or business email that they have long-term access to.

8. Termination

We reserve the right to suspend or terminate a user's access to our services for violations of these Terms and Conditions or any applicable laws. Users may terminate their subscription by providing written notice, but no refunds will be issued.

8.1 Grounds for Termination

Tracepos may, at its sole discretion, suspend or terminate a user’s access to the services without prior notice under the following circumstances:

  • Violation of any provisions outlined in these Terms and Conditions.
  • Engaging in unauthorized access, hacking, or security breaches.
  • Involvement in fraudulent activities, misrepresentation, or illegal use of the services.
  • Failure to comply with payment obligations, including chargebacks or disputed transactions.
  • Attempts to reverse engineer, copy, or create a competing application using Tracepos features.
  • Harassment, abuse, or threats towards Tracepos staff, partners, or other users.

8.2 Consequences of Termination

Upon termination of a user’s account:

  • Access to the Tracepos platform and all associated services will be immediately revoked.
  • All stored data related to the user account may be deleted or retained at Tracepos’ discretion, as per our Data Protection Policy.
  • Users will not be entitled to any refunds for remaining subscription periods or unused services.
  • Any outstanding fees or financial obligations owed to Tracepos will remain due and payable.

8.3 Appeal and Reinstatement

Users who believe their account was wrongfully terminated may submit an appeal by contacting [email protected] within 7 days of termination. Tracepos will review appeals on a case-by-case basis, and reinstatement of services is not guaranteed.

Repeated or severe violations may result in permanent bans, and Tracepos reserves the right to pursue legal action where necessary.
