Partner & Account Manager Terms & Conditions

This Partner and Account Manager Agreement ("Agreement") is entered into by and between Tracepos Technologies Limited ("Company," "we," "us," or "our") and the participating partner or agent ("Partner," "Account Manager," "you," or "your"). By enrolling in the Tracepos Partner Network, sharing your tracking assets, or servicing assigned accounts, you agree to be bound by the terms outlined below.

1. Program Overview & Enrollment

The Tracepos Partner Program empowers independent consultants, business service providers, sales professionals, and tech specialists to earn commissions by referring and managing merchants using the Tracepos business management ecosystem.

Enrollment requires registration on the Tracepos Partner Portal. We evaluate all applications and maintain sole discretion regarding partner acceptance, tier assignments, and credential distribution.

2. Commission Structure & Partner Tracks

Tracepos subscriptions are structured as full annual plans (Basic at ₦75,000/yr, Growth at ₦100,000/yr, Small Business at ₦180,000/yr, and Premium at ₦250,000/yr). Commissions are categorized based on your enrolled partner track:

  • Consulting Partner / Sub-Agent (30% Year 1): Independent consultants and retail agents earn an upfront commercial yield of 30% of the first-year annual subscription value for every client onboarded (e.g. ₦54,000 per Small Business deployment).
  • Enterprise Aggregator / Super Agent (40% Year 1 + Overrides): Certified regional aggregators earn a direct upfront commercial yield of 40% of the first-year annual subscription value (e.g. ₦72,000 per Small Business deployment), plus a 10% Year 1 / 5% Year 2 team override on all deals closed by their registered sub-agent team.
  • Annual Recurring Renewal Commissions: To reward ongoing client retention, Consulting Partners earn a recurring 15% renewal commission and Enterprise Aggregators earn a recurring 30% direct renewal commission for every subsequent year referred merchants renew their software licenses.
  • SaaS Exclusivity: Tracepos is a Software-as-a-Service (SaaS) platform. Commissions apply strictly to base annual software subscription fees. Physical hardware accessories (including POS thermal printers, barcode scanners, cash drawers), third-party payment gateway fees, and SMS or utility service credits are strictly non-commissionable.

3. Account Manager Obligations for Renewals

The recurring annual renewal commission reflects ongoing client retention and field success. As an active Partner, your responsibilities include:

  • Assisting the merchant with initial product catalog upload, opening stock verification, and cashier configuration.
  • Providing operational orientation on offline POS checkout and daily shift reconciliation.
  • Serving as the merchant's initial point of advisory before escalating advanced technical inquiries to Tracepos engineering.
  • Proactively facilitating annual renewal reminders prior to subscription expiration.

Note: If a partner fails to provide basic onboarding support or completely abandons an active account requiring central office intervention, Tracepos reserves the right to reassign the account and reallocate renewal commissions to safeguard client retention.

4. Tracking, Attribution & Eligibility

  • 90-Day Tracking Window: For digital referrals, prospective merchants must create an account within 90 days of engaging with your verified partner tracking link.
  • Last-Click Policy: If a merchant engages with links from multiple partners prior to registration, attribution is awarded to the final authenticated tracking link clicked prior to sign-up.
  • Self-Referral Prohibition: Partners cannot use their own referral links to license software for businesses where they maintain majority ownership or executive control in order to capture discounted subscriptions.

5. Payout Terms, Auditing & Settlements

  • Human-Audited Disbursements: To protect financial integrity, all withdrawal requests undergo manual administrative review and verification against active merchant subscriptions. Funds are never disbursed on an automated autopilot timer.
  • Weekly Settlement Cycle: Approved withdrawal requests submitted through the Partner Portal are processed on a weekly disbursement cycle directly into verified commercial bank accounts.
  • Minimum Withdrawal Threshold: Payout requests require an accrued commission balance of at least ₦10,000. Balances below ₦10,000 remain securely in your Partner Wallet until reached.
  • Disbursement Method: Payouts are made via direct electronic transfer into the verified Nigerian commercial bank account registered on your partner profile.
  • Refund & Cancellation Clawbacks: If a merchant cancels, receives an authorized refund, or initiates a banking chargeback, any commission disbursed for that specific transaction will be deducted from future commission balances. Tracepos reserves the right to place a temporary hold on payouts if suspicious or fraudulent subscription activity is flagged.

6. Brand Protection & Marketing Compliance

Partners represent the public reputation of Tracepos and must adhere strictly to promotional guidelines:

  • PPC Keyword Restrictions: Partners are strictly prohibited from bidding on paid search keywords containing "Tracepos", "Tracepos POS", or common variants across search networks (e.g., Google Ads, Bing Ads). Leads obtained via unauthorized branded search campaigns will be invalidated.
  • Truth in Advertising: Partners may not claim unofficial pricing, guarantee unreleased system capabilities, or claim direct employment status as a Tracepos corporate director.
  • Anti-Spam Regulations: Mass unsolicited emailing, WhatsApp broadcast spamming to cold lists, and unauthorized scrapers are grounds for immediate termination.

7. Termination & Program Revisions

Tracepos reserves the right to suspend or terminate partner privileges immediately without prior notice upon finding evidence of intentional fraud, brand misrepresentation, trademark bidding violations, or professional misconduct. Upon cause-based termination, pending unpaid commissions are forfeited.

Tracepos reserves the right to review and adjust commission percentages, incentives, and operational terms. Registered partners will receive notification of terms adjustments via their dashboard or registered email address.

8. Governing Law & Dispute Resolution

This Agreement is governed under the laws of the Federal Republic of Nigeria. Any formal legal proceedings arising from participation in this partner framework fall under the jurisdiction of the state courts located in Benin City, Edo State, Nigeria.
